Buy-Sell Agreement


An agreement among the shareholders of a company, governing how the owners of a business can sell their interests in the business, to whom, when, and at what price.

A buy-sell agreement includes provisions for death, disability, retirement, divorce, and voluntary and involuntary transfers. The terms of a buy-sell agreement can also be included in a shareholder’s agreement or it can be a separate document.
