Closing

Definition

The event when the required legal agreements (e.g., stock purchase agreement, asset purchase agreement, or merger agreement) are executed between the parties, and shares or assets are exchanged for the consideration specified in the agreement.

Tips

Actual change of possession (COP) of the shares or assets may not always occur at closing. For example, the parties can close on June 1, but the change of possession can be scheduled to occur on June 15.
