Confidential Information Memorandum / CIM

A selling document that is compiled by a business broker, M&A advisor, or investment banker to generate interest about a company from prospective buyers.

Tips

The CIM is typically 20 to 50 pages in length and includes information on investment highlights, sales and marketing, financials, operations, improvement potential, training period, the transition period, and more. The memorandum is released to buyers only after they sign a non-disclosure agreement, whereas a teaser profile that hides the identity of the company is released to buyers before they sign a non-disclosure agreement.
