Non-Disclosure Agreement (NDA) / Confidentiality Agreement (CA)

Definition

A legal contract between at least two parties that outlines confidential material, knowledge, or information that both parties want to share with each other for specific purposes, but with restricted access to or by third parties.

Tips

A non-disclosure agreement (NDA) is also known as a confidentiality agreement (CA), confidential disclosure agreement (CDA), proprietary information agreement (PIA), or secretary agreement. An NDA is a tool that protects a non-public business’s information.
